Product Terms & Conditions

These Product Terms & Conditions ("Product Terms") govern your use of the XMagnet platform, products, features, and services provided by XMagnet ("XMagnet," "we," "us," or "our").

These Product Terms are incorporated into and form part of the XMagnet Terms of Service ("Terms of Service"). By accessing or using XMagnet, you agree to comply with these Product Terms, the Terms of Service, and our Privacy Policy.

If there is a conflict between these Product Terms and the Terms of Service, the Terms of Service will control unless these Product Terms expressly state otherwise.

1. Product Use

XMagnet is an AI-powered email marketing and sales engagement platform designed to help businesses discover prospects, manage contacts, validate and enrich data, create and personalize campaigns, automate outreach, send business communications, and analyze campaign activity.

Depending on your plan and account configuration, XMagnet may provide features including:

  • Contact and company discovery
  • Email finding and validation
  • Contact and company enrichment
  • Contact database and management tools
  • AI-powered content generation and personalization
  • Email campaigns and sequences
  • Mailbox and domain-based email sending
  • Lead engagement and conversation management
  • Campaign analytics and reporting
  • APIs and third-party integrations
  • Other marketing, sales, data, and automation functionality introduced by XMagnet from time to time

Features, functionality, availability, and usage limits may vary by plan and may change as XMagnet evolves its products and services.

You may use XMagnet only for legitimate business purposes and in compliance with applicable laws, regulations, and third-party requirements.

Email Marketing, Anti-Spam & Acceptable Use

Because XMagnet enables email marketing and outbound communications, you are solely responsible for the contacts you upload or obtain, the campaigns you create, the content you generate or send, and all communications initiated through your account.

You agree to use XMagnet responsibly and comply with all applicable laws, regulations, and industry requirements relating to email marketing, electronic communications, privacy, and data protection.

You must not use XMagnet to:

  • Send spam, unsolicited bulk email, or other unlawful or abusive communications.
  • Send phishing, fraudulent, deceptive, misleading, or impersonating communications.
  • Use false, misleading, or deceptive sender information, sender names, subject lines, headers, or email content.
  • Send malware, malicious links, harmful code, or other malicious content.
  • Contact recipients who have opted out or requested that you stop contacting them.
  • Circumvent, disable, or interfere with unsubscribe, suppression, or opt-out mechanisms.
  • Ignore or fail to honor applicable unsubscribe or opt-out requests.
  • Use scraped, harvested, stolen, or unlawfully obtained personal information.
  • Use contact information without having the rights, permissions, authorization, or lawful basis required under applicable law.
  • Use XMagnet in violation of applicable email marketing, privacy, data protection, or electronic communications laws, including applicable requirements under laws such as the CAN-SPAM Act, CASL, GDPR, UK GDPR, or other applicable laws and regulations.
  • Engage in activities that generate excessive spam complaints, bounces, abuse reports, or other activity that may negatively affect sender, domain, or platform reputation.
  • Use XMagnet for fraudulent, illegal, abusive, threatening, or harmful activities.
  • Attempt to bypass or manipulate XMagnet's sending limits, security controls, abuse-prevention mechanisms, or technical restrictions.
  • Use XMagnet in a manner that could materially harm XMagnet, its infrastructure, email deliverability, third-party service providers, or other customers.

You are responsible for maintaining appropriate consent, lawful basis, unsubscribe, suppression, and opt-out processes applicable to your campaigns and recipients.

You are also responsible for ensuring that your sender identity, business identity, and email content accurately represent your organization and the purpose of the communication.

2. Account and Authorized Use

You are responsible for maintaining the security of your XMagnet account and for all activities conducted through your account.

You agree to:

  • Provide accurate and current account information;
  • Maintain the confidentiality of your login credentials;
  • Notify XMagnet if you believe your account has been compromised; and
  • Ensure that users accessing your account are authorized to do so.

You may not share account credentials with unauthorized individuals or attempt to access another user's account.

3. Credits and Usage Limits

Certain XMagnet features require credits or are subject to usage limits.

Credits may be used for activities such as contact finding, contact or company enrichment, email validation, or other data-related functionality.

Credit requirements, usage rates, limits, and available functionality may vary by plan and may be updated from time to time.

Unless expressly stated otherwise:

  • Credits have no cash value.
  • Credits are non-transferable between accounts.
  • Credits cannot be redeemed for cash.
  • Promotional or trial credits may expire according to the applicable offer or plan.
  • XMagnet may establish reasonable usage limits to prevent abuse, excessive automated activity, or unreasonable use of platform resources.

Your account and applicable plan will identify the credits, limits, and product entitlements available to you.

4. Email Sending, Bounce Rate & Deliverability

XMagnet provides technology and infrastructure that may facilitate email sending. You are solely responsible for the emails and other communications sent through your account.

Bounce Rate

You are responsible for maintaining clean, accurate, and deliverable recipient lists when using XMagnet.

XMagnet monitors email delivery metrics, including bounce rates, spam complaints, unsubscribe rates, and other indicators that may affect email deliverability and sender reputation.

As a general requirement, campaigns should maintain a bounce rate of 1% or less.

If a campaign exceeds a 1% bounce rate, XMagnet may pause, stop, or restrict the campaign and may require corrective action before sending can resume.

If an account repeatedly generates bounce rates above 1%, demonstrates a pattern of sending to invalid or poor-quality addresses, or otherwise presents a significant deliverability or reputation risk, XMagnet may suspend or terminate the account and/or restrict access to email-sending functionality.

XMagnet may take these actions immediately where necessary to protect its sending infrastructure, email deliverability, domain or sender reputation, other customers, or recipients.

You are responsible for maintaining appropriate list hygiene and are encouraged to use XMagnet's available validation and verification tools before sending campaigns.

Spam Complaints and Abuse

XMagnet may monitor spam complaints, abuse reports, unsubscribe rates, sending patterns, and other signals associated with email campaigns.

Accounts that generate excessive spam complaints, abuse reports, or other significant deliverability risks may have their campaigns paused, sending limits reduced, sending functionality restricted, or accounts suspended or terminated.

Deliverability

XMagnet does not guarantee email delivery, inbox placement, open rates, click rates, reply rates, conversions, or any particular marketing or business outcome.

Email delivery and inbox placement may be affected by factors outside XMagnet's control, including recipient mail providers, sender reputation, domain reputation, IP reputation, email authentication configuration, recipient engagement, spam filters, recipient policies, and third-party email infrastructure.

You are responsible for properly configuring and maintaining your sending domains, mailboxes, authentication records, sender information, and other sending infrastructure where applicable.

XMagnet may impose or modify sending limits, throttling, verification requirements, or other controls to protect deliverability, infrastructure, customers, recipients, and third-party service providers.

5. Customer Data

You retain ownership of the data and content that you upload, import, create, or otherwise provide to XMagnet ("Customer Data").

You are responsible for ensuring that you have all rights, permissions, authorizations, and lawful bases necessary to collect, upload, process, and use Customer Data through XMagnet.

You authorize XMagnet to process Customer Data as necessary to provide, operate, maintain, secure, and improve the services, subject to the Terms of Service, Privacy Policy, and applicable agreements.

You remain responsible for the accuracy, legality, and appropriate use of Customer Data.

6. Contact and Company Data

XMagnet may provide access to contact, company, professional, or other business-related information obtained through XMagnet or third-party data providers.

Data may be incomplete, outdated, inaccurate, or unavailable.

You are responsible for determining whether you may lawfully use such information for your intended purpose and for complying with applicable privacy, marketing, and data-protection requirements.

You must not use data obtained through XMagnet for unlawful, discriminatory, fraudulent, abusive, or prohibited activities.

7. Third-Party Data and Services

Certain XMagnet features may rely on third-party data providers, APIs, email infrastructure, enrichment services, authentication providers, AI providers, or other third-party services.

Third-party services may have their own terms, limitations, availability requirements, and usage restrictions.

XMagnet does not guarantee the accuracy, completeness, availability, or continued operation of third-party data or services.

Changes to or discontinuation of a third-party service may affect the availability or functionality of corresponding XMagnet features.

8. AI Features

XMagnet may use artificial intelligence to generate content, recommendations, classifications, personalization, predictions, data insights, or other outputs.

AI-generated results may contain errors, omissions, or inaccuracies.

You are responsible for reviewing and approving AI-generated content before sending it externally or relying on it for business, legal, compliance, or other material decisions.

You must not use AI-generated outputs in a manner that violates applicable law or the rights of others.

9. Product Changes and Availability

XMagnet is continuously developing and improving its products.

We may modify, add, remove, replace, or discontinue features, functionality, integrations, technical specifications, or product components from time to time.

We may also introduce new features or services that are subject to additional terms or requirements.

We will make reasonable efforts to maintain the general functionality of the services, but we do not guarantee that any particular feature, integration, data source, or functionality will remain available indefinitely.

10. Fair Use and Platform Protection

XMagnet is intended for legitimate business use.

You may not:

  • Circumvent or attempt to bypass usage limits;
  • Place unreasonable or excessive load on the platform;
  • Abuse automated functionality;
  • Use bots, scripts, or other mechanisms to interfere with the service except where expressly permitted;
  • Attempt to gain unauthorized access to XMagnet or related systems;
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the platform except where expressly permitted by applicable law;
  • Probe, scan, or test the vulnerability of XMagnet systems without authorization;
  • Interfere with the security, integrity, or operation of the platform;
  • Attempt to circumvent security, authentication, or access controls; or
  • Use XMagnet for unlawful, fraudulent, abusive, or harmful activities.

XMagnet may implement technical controls, rate limits, monitoring, verification, or other safeguards to protect the platform and its users.

11. Suspension and Termination

XMagnet may suspend, restrict, or terminate access to all or part of the product if we reasonably determine that an account:

  • Violates these Product Terms or the Terms of Service;
  • Engages in spam, abuse, fraud, or unlawful activity;
  • Creates a security, compliance, or operational risk;
  • Attempts to circumvent product restrictions or usage limits;
  • Creates a material deliverability or reputation risk;
  • Repeatedly exceeds the applicable bounce-rate threshold;
  • Generates excessive spam complaints or abuse reports;
  • Misuses third-party data or services; or
  • May negatively affect XMagnet, its infrastructure, third-party providers, recipients, or other customers.

Where reasonably practicable, XMagnet may provide notice and an opportunity to resolve the issue before suspension or termination.

However, XMagnet may immediately restrict or suspend access where necessary to prevent spam, fraud, security threats, unlawful activity, abuse, or material harm to the platform or third parties.

12. Intellectual Property

XMagnet and its software, technology, interfaces, designs, branding, documentation, workflows, and underlying systems are owned by or licensed to XMagnet and are protected by applicable intellectual-property laws.

Except for the rights expressly granted under the Terms of Service, no ownership rights in XMagnet are transferred to you.

13. Disclaimer

XMagnet is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

XMagnet does not guarantee that:

  • The service will always be available, uninterrupted, or error-free;
  • Data provided through the platform will always be accurate, complete, or current;
  • Emails will always be delivered or reach recipients' inboxes;
  • AI-generated content or recommendations will always be accurate;
  • Third-party services will remain available;
  • Campaigns will achieve a particular open, click, reply, conversion, revenue, or other result; or
  • Your use of XMagnet will result in any particular business outcome.

14. Limitation of Liability

To the maximum extent permitted by applicable law, XMagnet will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from or related to your use of the product.

Any additional limitations of liability are governed by the XMagnet Terms of Service.

15. Relationship to Terms of Service

These Product Terms supplement and form part of the XMagnet Terms of Service.

The Terms of Service govern the overall contractual relationship between you and XMagnet, while these Product Terms provide additional requirements and conditions specific to the XMagnet products and their use.

If there is a conflict between these Product Terms and the Terms of Service, the Terms of Service will control unless these Product Terms expressly state otherwise.

16. Updates to These Product Terms

We may update these Product Terms from time to time to reflect changes to our products, services, legal requirements, or business practices.

The updated version will be posted on this page with a revised "Last Updated" date.

Your continued use of XMagnet after an updated version becomes effective constitutes acceptance of the updated Product Terms, to the extent permitted by applicable law.
