These Terms of Service ("Terms") govern your access to and use of the XMagnet website at https://xmagnet.ai, the XMagnet platform, and related products and services (collectively, the "Services") provided by XMagnet ("XMagnet," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.
These Terms incorporate our Product Terms & Conditions and Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business and professional use.
To access certain features you must create an account. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use or suspected security breach.
Access to certain features may require a paid plan, subscription, or credits. Applicable fees, plan features, usage limits, and credit terms are described in your plan, order, or account, and in the Product Terms. Unless stated otherwise, fees are non-refundable, credits have no cash value, and subscriptions may renew according to their terms. We may change pricing and plans prospectively with notice as required by law.
Your use of the Services — including all email sending, prospecting, data, and outreach activity — is subject to the acceptable-use, anti-spam, bounce-rate, and deliverability requirements set out in our Product Terms & Conditions. You agree not to use the Services unlawfully, abusively, or in any way that could harm XMagnet, its infrastructure, its other customers, or recipients.
You retain ownership of the data and content you submit to the Services ("Customer Data"). You grant XMagnet the rights necessary to host, process, and use Customer Data to provide, secure, and improve the Services. You are responsible for having all rights, permissions, and lawful bases required to provide and use Customer Data, and for its accuracy and lawful use.
The Services, including all software, technology, interfaces, designs, branding, logos, text, graphics, and documentation, are owned by or licensed to XMagnet and are protected by intellectual-property laws. Except for the limited rights expressly granted to you, no rights are transferred. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services except as permitted by applicable law or with our written consent.
The Services may integrate with or rely on third-party products, data providers, and services that have their own terms. We are not responsible for third-party services, and their availability or changes may affect corresponding features.

We may suspend, restrict, or terminate access to the Services if you violate these Terms or the Product Terms, create a security, legal, or operational risk, or as otherwise described in the Product Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any particular data, deliverability, or business outcome will be achieved.
To the maximum extent permitted by applicable law, XMagnet will not be liable for any indirect, incidental, special, consequential, or loss-of-profit damages arising from or related to your use of the Services. Our aggregate liability for any claim will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim, except where such limitation is not permitted by law.
You agree to indemnify and hold XMagnet harmless from claims, damages, liabilities, and expenses arising out of your Customer Data, your use of the Services, or your violation of these Terms, the Product Terms, or applicable law.
These Terms are governed by applicable law. Any specific governing law, jurisdiction, or dispute-resolution terms will be as set out in your applicable order form or subscription agreement, or otherwise as required by applicable law.
We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Your continued use of the Services after an update becomes effective constitutes acceptance of the updated Terms, to the extent permitted by law.
These Terms, together with the Product Terms and Privacy Policy, form the agreement between you and XMagnet regarding the Services. If there is a conflict between these Terms and the Product Terms, these Terms control unless the Product Terms expressly state otherwise.
