These Program Terms ("Terms") govern the XMagnet Refer & Earn program (the "Program") operated by XMagnet, Inc. ("XMagnet", "we", "us"). By sharing your referral link, adding a payout method, or accepting a reward you agree to these Terms, the XMagnet Terms of Service and the Privacy Policy. If you do not agree, do not participate.
1. Eligibility
- You must hold an XMagnet account on an active paid plan. Accounts on a Free plan or a trial may view the Program but cannot generate a referral link or earn rewards. If your plan lapses to Free, your link is paused and no new rewards accrue until you are on a paid plan again.
- You must be at least 18 years old and able to enter a binding contract, and you must not be located in, or a resident of, a country or territory subject to comprehensive U.S. sanctions.
- One Program account per person. Employees and contractors of XMagnet and their immediate family members are not eligible.
- Participation is personal to you; you may not sell, assign or sublicense your referral link.
2. How a Referral Is Counted
Your referral link contains your organization id and your name. A person you refer (a "Referred Customer") is attributed to you when all of the following are true:
- they open your referral link and create a new XMagnet account within 90 days of that click (last-click attribution; a later click on another participant's link replaces yours);
- the account is not part of your own organization, and the person has not previously held an XMagnet account or been invited to an existing organization;
- the account becomes a paying customer within 90 days of signing up.
We determine attribution using our tracking records, which are final. Referred Customers must sign up through the link; we cannot attribute accounts retroactively.
3. Rewards
- Rate. You earn 20% of the net subscription fees actually paid by each Referred Customer (after discounts, credits, refunds, chargebacks and excluding taxes and one-off purchases such as credit packs, domains or services).
- Subscriptions only. Only recurring subscription plan fees count toward rewards. Separate credit purchases, credit top-ups, add-ons and any other in-app purchases are not counted and do not earn rewards, even when made by a Referred Customer.
- Duration. Rewards accrue on payments made during the 12 months following the Referred Customer's first paid invoice.
- Hold. Each reward is pending for 30 days after the related payment, then approved. A reward is reversed if the payment is refunded, disputed or otherwise not retained by XMagnet within that period.
- Non-payment, cancellation and refunds. Rewards are earned only on payments XMagnet actually receives and keeps. If a Referred Customer does not pay, their payment fails, or they cancel, downgrade to a Free plan or close their account, no reward accrues for any unpaid period, and rewards stop from the date of cancellation. If a payment is later refunded, reversed or charged back, including after the hold period, the related reward is cancelled; if it has already been paid to you, we may deduct it from your future rewards or ask you to repay it.
- No double rewards. If a Referred Customer is also covered by another XMagnet promotion, agency or reseller arrangement, we pay only one reward at our discretion.
- Rewards are a marketing payment, not equity, interest, a security or a purchase price, and carry no voting or other rights.
4. Payouts
- Approved rewards are paid monthly once your approved balance reaches $50. Balances below the minimum roll over.
- Before any payout you must add a payout method (PayPal or bank transfer) and submit a tax form: IRS Form W-9 for U.S. persons or W-8BEN / W-8BEN-E for non-U.S. persons. We may request additional identity, address or tax documentation.
- Payouts are in U.S. dollars. Bank, currency-conversion or PayPal fees are deducted from, or charged on top of, the payout by the relevant provider and are your responsibility.
- Where required by law we will report payments to tax authorities (for example on IRS Form 1099 for U.S. persons who receive $600 or more in a year) and withhold tax. You are solely responsible for any tax due on rewards.
- Unpaid balances are forfeited if your account is closed, if you are removed from the Program for a breach, or if you have not been on a paid plan for 12 consecutive months.
5. Allowed and Prohibited Promotion
You may share your link with people and businesses you genuinely know or reach in the ordinary course of your work, on your own website, newsletter or social accounts. You must not:
- send unsolicited bulk email or messages ("spam"), or use XMagnet itself to mass-mail your referral link;
- run paid search or social ads on "XMagnet" or confusingly similar terms, or use our name or logo in a way that suggests you are XMagnet or act for us;
- post the link on coupon, deal or cash-back sites, or offer cash, credits or other incentives to people for signing up;
- refer yourself, your own organization, existing customers, or accounts you control; create or encourage fake, duplicate or test accounts;
- make false, misleading or unauthorized statements about XMagnet, its pricing or features, or omit a required disclosure.
Disclosure. Where you promote the link publicly you must clearly state that you may earn a reward (for example "I earn a commission if you subscribe"), as required by the U.S. FTC Endorsement Guides and similar laws.
6. Referred Customer Data
Your dashboard shows a Referred Customer's company name, a masked email address, plan and status so you can track rewards. You receive no other personal data and may not use what you see for any purpose other than tracking your rewards. XMagnet processes Referred Customers' data as described in the Privacy Policy. If a Referred Customer asks us to, we may hide them from your dashboard; rewards are unaffected.
7. Suspension, Termination and Changes
- We may suspend or terminate your participation, withhold or claw back rewards, and disable your link if we reasonably believe you have breached these Terms, engaged in fraud or abuse, or if your XMagnet account is suspended or closed.
- We may change the reward rate, duration, minimum payout, hold period or any other part of the Program, or end it entirely, at any time. Changes apply to referrals made after the change is posted on this page; rewards already approved are honored.
- You may leave the Program at any time by contacting us; approved rewards above the minimum are paid in the next payout cycle.
8. Relationship; Liability
You take part as an independent party, not as an employee, agent, partner or representative of XMagnet, and you have no authority to bind us. The Program is provided "as is". To the fullest extent permitted by law XMagnet's total liability to you in connection with the Program is limited to the rewards properly earned and unpaid in the 12 months before the claim arose. We are not liable for indirect, incidental or consequential loss, or for the acts of payment providers.
9. General
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules; disputes are subject to the dispute-resolution provisions of the XMagnet Terms of Service. If any provision is unenforceable the rest remains in effect. These Terms, with the documents referenced above, are the entire agreement about the Program.
